Abstract

If the credit applied by the businessmen is big enough, the bank will ask for a certain amount of movable or unmovable collateral to meet the requirements for the credit extension, besides it can also change the form of business entity from unincorporated into incorporated enterprises.The change from comanditer company (CV) into a legal business entity such as limiuted liability company (PT) against the ongoing credit agreement shall begin with the renewal of credit agreement from previous debtor (CV) to current debtor (PT) resulting in a novation (debt renewal) with a number of additional requirements such as the addition of the collateral previously given. The collateral previously given on behalf of CV shall be cancelled with the agreement of Bank BNI and is transfered on behalf of PT as current/new debtor through a General Meeting of Stockholders. Abstract

Notarial acts have to be authentic evidence when there is a dispute in the Court; they provide legal guarantee, order, and protection for the people who use notaries service. The objective of the research was to find out legal protection for a notary as public official who draws up deed formallyand materially according to law no.30/2004 om notarial fuction and to find out the legal consequence for a notary in drawing up certificates no. 1 and no. 2 on april 2013, based on the rullingof lubuk pakam distric court (putusan MA no.80/Pdt.G/2015/PN.Lbp) in conjuction with law no. 30/2004 on notarial fuction. Legal protection for a notary which is asked as a witness by investigators, prosecutors, and judges is regulated in article 66 of law no20/2004 on notarial fuction. Abstract

Articles of Amendment of a corporation are one of the important parts in a corporation because it contains the right and obligation which are obviously stipulated in the Agenda. Articles of amendment of statutes is the ones which guarantee legal certainty for stakeholders in it, but the problems arouse when it is stipulated in Article 21, paragraph 1 of Law No. 40/2007 on Corporation, it is not filed or requested: whether Articles of Amendment of statutes does not get approval from the Minister of Law and Human Resources as it is required in Article 21, paragraph 1 on the requirement to get the approval from the Minister will be cancelled by law or whether it becomes invalid because it does not get approval from the Minister, or whether it is cancelled by itself because it has passed the time limit for requesting to get approval from the Minister. Abstract

Along with the rise of the development, the demand for transportation facilities is significantly increasing. In order to accommodate the society’s demands, economical growth, and credit system development in Indonesian society nowadays, any forms of financial assurance are required, where people need to make a loan with any movable property as the collateral, yet it can still be used by the financing institutions. In financing the purchase by installment of any automobiles, the financing institutions require the collateral for the vehicle. In fact, the leasing companies frequently sell the collateral of the auction without going through the State Auction Office that has been stipulated in the Law on Fiduciary Collateral. This way obviously breaks the Law and if it taken seriously, it can certainly become a legal issue. This research then made three conclusions, namely: In completing the financing agreement on motor vehicle installment in case the debtor defaults, withdrawal was firstly made, then the company did the selling, after that auction was done. The obstacles in the execution toward fiduciary collateral which properties were not registered were made underhanded. Therefore, the institutions who are involved in the practice get the administrative sanction stipulated in the Regulation of Minister of Finance No. 130/PMK.010/2012 regarding Fiduciary Collateral Registration. Abstract

Buy and sell is an agreement in which the first party (seller) binds himself to give (ownership upon) something to the other party (buyer) to pay a promised price which is in line with Article 1457 of the Civil Code. Often in land transactions where an issue arises after the sale and purchase of land between the Seller and the Buyer, the other party that the certificate owner longest objected to the occurrence of the land transactions. This proves there has been a dispute over double the certificate. The research used descriptive analytic. The results showed that the claim from the owner of the oldest certificate for the certified land purchase occurred because the lay and the borders of the land in the certificate owned by the oldest certificate holder are not obviously stated: also, he never occupied or took care of the lan. As to the legal certainty of certificate of title, it is valid as long as there is no claim/objection from other party who has evidence as the owner who has stronger entitlement on the land concerning the defense on the land rights. Keywords : Defense, Land Purchase, The Owner of the Oldest Certificate

Abstract

There fore minors are at the mercy of parents, but parental authority can be revoked by the religious court this is due to negligence and no ready parents in taking care of their children, Issues of revocation of power of parents by the court is very interesting to study in a thesis, with the background of problems as follows, namely how the legal position of its parents are not known to exist, and what form of legal protection of children as a result of the revocation of parents set religious court, and how due to child-custody laws for the revocation of parents who are not known to exist (Study Of Religion Court Decision Number 1613 / PDT.G / 2014 / PA.Mdn). While legal protection against children forms due to the revocation power of parents who set namely religious courts religious Courts assign a guardian as Substitute notch the father and mather parents to review nurture and take care of the interests of the young everything. in addition to legal consequences the against child trust because revocation power of parents who is not known to exist (Study Of Religion Court Decision Number 1613 / Pdt.G / 2014 / PA.Mdn) That trustee appointed and by the religious court decided to replace the position differences parent power against his son the has repealed by justice religion because known to exist. Abstract

Wakaf (property donated for religious/community purposes) is one of the Islamic social institutions which has the value of ibadah (service to Allah the Almighty).The position of nazir (the person who takes care of wakaf property) is very vital since he is responsible for taking care of it and developing wakaf so that it will function properly. One of the problems of wakaf in Samudera Subdistrict is that the wakaf nazir is dismissed before his tenure ends with reasonable background for his dismissal. In consequence, he loses his right and obligation as stipulated in Law No. 41/2004 on Wakaf. The problems of the research were as follows: how about the procedure of dismissing a wakaf nazir in the perspective of the Islamic Fiqh and Law No. 41/2004 on Wakaf, how about the right and obligation of a wakaf nazir who was dismissed in the perspective of the Islamic Fiqh and Law No. 41/2004 on Wakaf, and what factor which caused a wakaf nazir to be dismissed before his tenure ended in Samudera Subdistrict, North Aceh District. The research used judicial empirical method. The procedure of dismissing a wakaf nazir in the perspective of the Islamic Fiqh and Law No. 41/2004 is regulated in Article 45 of Law No. 41/2004 and in Article 221 of KHI (Compilation of the Islamic laws). he is not reliable in taking care of the wakaf property or the wakaf management is not transparent. It is recommended that the person who will be appointed as a wakaf nazir fully understand his duty well according to the Islamic Fiqh in the KHI and in Law No. 41/2004. A wakaf nazir who manages wakaf property in each Subdistrict or village should be supervised and assessed properly so that there will no embezzlement of wakaf property. Abstract

Drawing up a deed of a legal entity association involves a Notary as a public officer who is empowered to draw up deeds.The problems of the research were how about the position of an association established as a legal entity and how about a Notary’s responsibility for the deed of legal entity association after the issuance of the Regulation of the Minister of Law and Human Rights No. 6/2014 on the Validation of Legal Entity Association. The research used judicial normative and qualitative method, based on legal provisions and respondents’ opinions.          Usually, notary usually used the modeling of foundation deed in drawing up legal entity association deeds which contained the statutes of association since there was the resemblance between foundation and legal entity association and its registration was done manually. However, since the issuance of the Regulation of the Minister of Law and Human Rights No. 6/2014 on the Validation of Legal Entity Association, a Notary has to comply with this regulation in drawing up legal entity association deeds, including the registration of legal entities which is done electronically (online system). The problem is that the statutes of the association is not clearly organized so that a Notary as a State official who has the authority to draw up authentic deeds encounters obstacles in drawing up legal entity association deeds.
